Welcome to Relay Harvest. By accessing our website or using our services, you agree to be bound by these Terms of Service ("Terms"). Please read them carefully.

Legal Entity: These Terms constitute a legal agreement between you and Aventis West LLC, a California limited liability company doing business as "Relay Harvest."

1. Services Overview

Relay Harvest provides fractional logistics coordination services to California produce growers. Our services include, but are not limited to:

Carrier relationship management and coordination
Cold storage scheduling and coordination
Shipment tracking and monitoring
Rate negotiation support
Documentation management and claims assistance

IMPORTANT DISCLAIMER: Aventis West LLC (dba Relay Harvest) is NOT a freight broker, freight forwarder, or motor carrier. We do not hold motor carrier or broker authority. We act solely as a coordination and administrative service on behalf of our clients. All transportation contracts and relationships with carriers remain between the client and the carrier.

2. Acceptance of Terms

By using our website or services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use our services.

3. Service Agreement

Use of our logistics coordination services requires a separate written Service Agreement. The terms of your specific Service Agreement will govern the relationship between you and Relay Harvest with respect to the services provided. In the event of any conflict between these Terms and your Service Agreement, the Service Agreement shall control.

4. Client Responsibilities

As a client, you agree to:

Provide accurate and complete information about your logistics needs
Maintain all required licenses, permits, and insurance for your business operations
Maintain direct contractual relationships with all carriers
Authorize Relay Harvest to coordinate logistics on your behalf
Pay all fees according to the terms of your Service Agreement
Comply with all applicable laws and regulations

5. Limitation of Services

Relay Harvest's services are limited to coordination and administrative functions. We:

Do NOT take possession of cargo
Do NOT act as a freight broker or carrier
Do NOT guarantee delivery times or carrier performance
Do NOT assume liability for cargo loss, damage, or delay
Do NOT extend credit or payment terms to clients or carriers

All shipment, transportation, and delivery obligations remain between you (the shipper) and the carrier you contract with.

6. Fees and Payment

Fees for our services are outlined in your Service Agreement. Standard payment terms are:

Monthly billing in advance
Payment due within 15 days of invoice date
Late payments subject to 1.5% monthly interest charge
Services may be suspended for non-payment

7. Term and Termination

Unless otherwise specified in your Service Agreement:

Services are provided on a month-to-month basis
Either party may terminate with 30 days written notice
We reserve the right to terminate immediately for non-payment or breach of these Terms
Upon termination, you remain responsible for all outstanding fees

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Aventis West LLC (dba Relay Harvest) shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising out of or related to our services.

Our total liability to you for any claims arising from our services shall not exceed the amount of fees paid by you to Aventis West LLC (dba Relay Harvest) in the three (3) months preceding the claim.

We are not liable for:

Carrier performance, delays, or failures
Cargo loss, damage, or contamination
Market conditions affecting freight rates
Actions or omissions of third parties
Force majeure events beyond our reasonable control

9. Indemnification

You agree to indemnify, defend, and hold harmless Aventis West LLC (dba Relay Harvest), its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

Your use of our services
Your violation of these Terms
Your violation of any laws or regulations
Your cargo, shipments, or carrier relationships

10. Insurance

You are solely responsible for obtaining and maintaining appropriate insurance coverage for your business, including but not limited to cargo insurance, liability insurance, and workers' compensation insurance. Aventis West LLC (dba Relay Harvest) does not provide insurance coverage for your shipments or operations.

11. Intellectual Property

All content on our website, including text, graphics, logos, and software, is the property of Aventis West LLC and is protected by copyright and trademark laws. You may not reproduce, distribute, or create derivative works without our written permission.

12. Confidentiality

Both parties agree to keep confidential any non-public information disclosed during the course of our relationship, including but not limited to business information, pricing, and operational details.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website with a new "Last Updated" date. Your continued use of our services after such changes constitutes acceptance of the modified Terms.

14. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of California, without regard to its conflict of law provisions.

Any disputes arising out of or related to these Terms or our services shall be resolved through:

Negotiation: Good faith negotiation between the parties
Mediation: If negotiation fails, non-binding mediation in California
Arbitration or Litigation: If mediation fails, binding arbitration or litigation in California courts

15. Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with your Service Agreement and our Privacy Policy, constitute the entire agreement between you and Aventis West LLC (dba Relay Harvest) regarding our services and supersede all prior agreements and understandings.
